USA : Iconix Brand CEO pleased with Q3 results

Iconix Brand Group Inc announced financial results for the third quarter and nine months ended September 30, 2007.

Q3 2007 results:
Licensing revenue for the third quarter of 2007 increased 93% to approximately $42.7 million, as compared to approximately $22.1 million in the third quarter of 2006. EBITDA for the third quarter increased 92% to approximately $30.8 million, as compared to approximately $16.1 million in the prior year quarter and free cash flow for the quarter increased 106% to approximately $27.4 million, as compared to approximately $13.3 million in the prior year quarter.

Net income for the third quarter increased 114% to approximately $17.0 million versus approximately $7.9 million in the prior year quarter and fully diluted earnings per share increased to approximately $0.28 versus $0.18 in the prior year quarter. EBITDA and free cash flow are non-GAAP measures and reconciliation tables for both are attached to this press release.

Nine months ended September 30, 2007 results:
Licensing revenue for the nine months ended September 30, 2007 increased 109% to approximately $112.6 million, as compared to approximately $53.8 million in the prior year nine month period. EBITDA for the nine month period increased 138% to approximately $85.4 million, as compared to approximately $35.9 million in the prior year nine month period, and free cash flow increased 160% to approximately $74.5 million, as compared to approximately $28.7 million in the prior year nine month period.

Net income as reported on the Company's income statement for the nine month period increased 88% to approximately $44.5 million, as compared to approximately $23.6 million in the prior year nine month period and fully diluted earning per share as reported on the Company's income statement was $0.73 versus $0.54 in the prior year nine month period.

The Company recognized non-cash tax benefits in the prior year nine month period and therefore comparing net income on a tax-effected basis, the Company reported net income of approximately $44.5 million as compared to approximately $17.1 million (tax-effected) in the prior year nine months.

In comparing fully diluted earnings per share on a tax-effected basis, the Company reported fully diluted earnings per share of $0.73 in the first nine months of 2007, as compared to $0.40 (tax-effected) in the prior year nine month period. Tax effected net income and fully diluted EPS are non-GAAP metrics and a reconciliation table for both is attached to this press release.

Neil Cole, Chairman and CEO of Iconix, commented, "I am pleased with our results this quarter as we increased revenue 93% and net income 114% from the prior year in what was a very challenging period for retail in general.

Our performance this quarter highlights the unique attributes of our licensing model where diversification from a portfolio of 15 brands and almost 200 licensees, combined with contractually guaranteed revenue and no inventory exposure reduces our risk and volatility in difficult retail environments.

Looking ahead to the remainder of this year and for 2008, I am confident we will continue to deliver strong increases in both revenue and profitability and execute our long term growth plan."

2007 Guidance:
The Company is projecting that for the full year 2007 it will be at the high of end of its current revenue guidance of $150 - $160 million as well as its current fully diluted earnings per share guidance of $0.96 - $1.00.

2008 Guidance:
The Company is issuing guidance for the full year 2008 of revenue in a range of $240 - $250 million and fully diluted EPS in a range of $1.35 - $1.40.

USA : Nautilus adopts shareholder rights plan

Global fitness company Nautilu Inc announced its Board of Directors has adopted a limited duration Shareholder Rights Plan.

Under the Shareholder Rights Plan one right will be distributed for each share of Nautilus common stock outstanding as of the close of business on November 8, 2007.

Effective, if any person or group acquires 20 percent or more of the voting power of the Company's outstanding common stock without the approval of the Board of Directors, there would be a triggering event causing significant dilution in the voting power of such person or group.

However, existing shareholders who currently own more than 20 percent of the voting power will trigger a dilutive event only if they acquire additional shares. The Plan may be terminated by the Board at any time.

"A shareholder rights plan protects the interests of all shareholders from takeover or control tactics that do not offer all shareholders a fair premium," said Bob Falcone, Chairman and CEO of Nautilus Inc.

"The Plan is not intended to prevent an offer that the Board concludes is in the best interest of Nautilus and its shareholders."

The Plan will continue in effect until October 28, 2010, unless earlier terminated or redeemed by Nautilus Inc. The Board of Directors has also resolved to submit the continuation of the Plan to a shareholder vote within the next 12 months.

Abercrombie & Fitch announced that customers of its West Village-inspired concept, RUEHL, can now enjoy the convenience of purchasing handbags directly through their website.

Fashion design around the world


Most major countries have their own fashion industry, including Belgium, Spain, Portugal, India, Germany, and Australia. However, only five nations have established truly international reputations in fashion design. These countries are France, the United Kingdom, the United States of America, Italy, and Japan. Below are brief descriptions of the fashion industry in each country.

French fashion design

Most French fashion houses are in Paris, which is the capital of French fashion and of the world. Traditionally, French fashion is chic and stylish, defined by its sophistication, cut, and smart accessories. Among the many Parisian couture houses are Chanel and Christian Dior, who present exclusive fashion shows in their salons; other designers display their work at the designer collections that are held twice a year.

British fashion design

As in France, the majority of British fashion houses are based in the capital, London. Whereas the French are considered the epitome of style and fashion in ladies' garments, the pinnacle of men's is considered to be London, Savile Row in particular. British fashion houses are associated with a very traditional, British style: elegant, yet conservative cuts, fine yet not overly extravagant materials and a sort of noble, even 'imperial' elegance, such as that of traditional 'Fifties debutantes' gowns, compared to the French 'chic'. The first fashion designer, Charles Worth, was a native of Britain, although he made his name in Paris in the 19th century. In the 1920s, Norman Hartnell became known for elaborate evening gowns, and went on to design Queen Elizabeth II's world-renowned wedding and coronation gowns, along with others for many members of the British royal family. Famous British Designers include Vivienne Westwood, Sir Hardy Amies, Paul Smith, Christopher Bailey and Christopher Kane.

American fashion design

The majority of American fashion houses are based in New York, although there are also a significant number in Los Angeles, where a substantial percentage of clothing manufactured in the US is actually made, Miami, and Chicago, which was once a center of American fashion. American fashion design is dominated by a clean-cut, casual style, reflecting the athletic, health-conscious lifestyles of many American city-dwellers. A designer who helped to set the trend in the United States for sport-influenced day wear throughout the 1940's and 50's was Claire McCardell. Many of her designs have been revived in recent decades. More modern influences on the American look have been Calvin Klein (known for classic coats and separates), Ralph Lauren (known for casually elegant clothes in natural fabrics), Uriel Saenz (known for his luxury detailing and superb craftmenship), Anna Sui (known for her unique styles of clothing and for creating new trends), Donna Karan (known for practical, sophisticated women's wear), Kenneth Cole (know for a modern, casual look), Marc Jacobs (known for a diverse style and influences), Michael Kors (for a fresh appeal), and Tommy Hilfiger (known for preppy, modern American style). Also, among the younger American crowd, Hollister, American Eagle, Abercrombie & Fitch, Aéropostale, and Coach predominate, though many with some knowledge of fashion or in the fashion business do not consider this fashion.

Italian fashion design

Most of the older Italian couturiers are in Rome. however, Milan is the Italian fashion capital because it is base to most of the well-known designers, and it is the exhibition venue for their collections. Italian fashion features casual elegance and luxurious fabrics. The first Italian luxury brand was Salvatore Ferragamo (who has exported exquisite hand-made shoes to the U.S. since the 1920s); among the best-known, exclusive fashion names are Valentino ("Rosso Valentino" [Red Valentino] line), Gianfranco Ferrè (boldly-cut, brightly-colored clothes), Giorgio Armani (subtle masculinity for men and women), Gianni Versace (beautifully-cut leather clothes), and Dolce & Gabbana (classic-to-modern avante-garde appeal); per BusinessWeek.com, Gucci is the greatest-selling Italian fashion brand, with world-wide sales of $7.158 billion dollars.

Japanese fashion design

Most Japanese fashion houses are in Tokyo. The Japanese look is loose and unstructured (often resulting from complicated cutting), colours tend to the sombre and subtle, and richly textured fabrics. The most famous Japanese fashion designers work in Europe and the U.S.A., but the Tokyo designer collection presentations are major international fashion event. Famous Japanese designers are Kenzo (layered looks, highly original knitwear), Issey Miyake (masterful drape and cut), and Rei Kawakubo, who developed a new way of cutting (comparable to Madeleine Vionnet's innovation in the 1930s).

Germany : PUMA sustainability report certified by TÜV Rheinland

PUMA has issued its new Sustainability Report 2005/2006. For the first time, German Technical Service and Assurance Provider TÜV Rheinland verified and certificated the report.

Greenpeace and Fair Labor Association (FLA) have explicitly recognized the social and ecological commitment of the Sportlifestyle company.

The report is published in accordance with the demanding guidelines of Global Reporting Initiative (GRI), a large multistakeholder network.

PUMA’s Sustainability Report obtained the best GRI application level A+ - a first in the sporting goods industry. Moreover, according to Swiss Institute SAM (Sustainability Asset Management), PUMA will continue to be ranked in Dow Jones and STOXX Sustainability Index next year.

On a total of 84 pages, PUMA presents its extensive activities in the area of social standards, environment protection and restricted substances.

The Sportlifestyle company clearly outlines the continuous improvement of S.A.F.E. (Social Accountability and Fundamental Environmental Standards)-activities.

Their aim is not only to generate fair working conditions, protect the environment and manufacture ecologically compatible products. An active dialog with different stakeholders (and pressure groups) is also of great importance to PUMA.

TÜV Rheinland certifies that “PUMA has developed a significant and operational management system for environmental and social aspects.” Results of the examination confirm that the Sportlifestyle company successfully implemented the “Code of Conduct”, the “Code of Ethics” and the “Handbook for Environmental Issues”.

Those guidelines are generally binding, not only for all PUMA headquarters but also for the 369 independent suppliers and manufacturers named in the report.

The independent environmental organization Greenpeace confirms that PUMA’s commitment sets standards. Greenpeace has checked different companies regarding eco friendliness of their products, ranking them from red to green.

After examination of PUMA’s product range, the Sportlifestyle company has obtained the best category “green”. Fair Labor Organization (FLA) is in agreement with this positive appraisal: PUMA has been accredited this year as full member for the first time.

FLA is a non-profit organization dedicated to improve working and production conditions. As accredited member, the Sportlifestyle company thoroughly supports the strict guidelines and unannounced audits by FLA.

UAE : Aiisha unveils unique collection inspired by Nokia 7900 Prism


In an unprecedented case of a mobile device inspiring fashion, local designer Aiisha last night unveiled her prêt-a-Porter collection of 35 dresses, each completely inspired by Nokia’s latest handset – the Nokia 7900 Prism. The dresses were showcased on the catwalk at Dubai’s International Fashion Week - to a rapturous reception from the assembled audience, made up of local fashion houses and international industry leaders.

The UAE-based and Lebanese born designer Aiisha based her innovative collection on the cutting-edge colours, bold geometric patterns, materials and graphics which have gone into the unique design of Nokia’s 7900 Prism. Sweden : Lindex BoD to postpone Annual Meeting of shareholders

In view of the offer, the Lindex Board of Directors has decided to postpone the company's Annual Meeting of shareholders until 20 February 2008, at 4 p.m. in Gothenburg.

With the intention to not make the completion of the offer from Stockmann more difficult, Lindex has undertaken to consult with Stockmann regarding the implementation of the recapitalisation announced on 3 September 2007.

The Lindex Board of Directors will not complete the recapitalisation if the offer to the shareholders is completed.

The Board of AB Lindex has on September 30, 2007, received an offer of SEK 116 for each share for Lindex from Stockmann Oyj Abp, which the Board recommends the shareholders to accept.

The offer from Stockmann is conditional upon that Lindex has acquired title to the trademark Lindex on the Russian market.
